This Transporter Agreement ("Agreement") governs the use of the HaulPal platform by transporters, vehicle owners, drivers, fleet operators, and logistics service providers ("Transporter", "you", "your").
By registering as a transporter on HaulPal, you agree to be bound by this Agreement.

1. Definitions

For the purposes of these Terms, the following definitions apply:
'Customer' means any person or business that posts, requests, or books transportation services through HaulPal.
'Delivery Request' means any transportation job, cargo movement, delivery request, or logistics service request published on the Platform.
'Platform'means the HaulPal website, mobile application, APIs, and related services.
'Transporter' means any driver, vehicle owner, fleet operator, logistics company, or authorized representative providing transportation services through the Platform.

2. Eligibility

To register as a Transporter, you must:
  • Be at least eighteen (18) years old.
  • Have legal authority to enter into binding contracts.
  • Possess all licenses, permits, and authorizations required by applicable law.
  • Provide accurate and complete registration information.
  • Maintain a valid phone number and email address.
  • Not be prohibited by law from providing transportation services.
HaulPal may request verification documents at any time.

3. Independent Contractor Relationship

The Transporter acknowledges and agrees that:
  • HaulPal is a technology platform connecting customers and transporters.
  • HaulPal does not operate as a transport carrier.
  • HaulPal does not employ drivers or transporters.
  • The Transporter acts solely as an independent contractor.
  • Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship.
The Transporter remains solely responsible for the manner and means by which transportation services are performed.

4. Vehicle Requirements

The Transporter shall ensure that all vehicles listed on the Platform:
  • Maintaining account security.
  • Are legally owned, leased, or otherwise lawfully operated.
  • Are roadworthy and safe for transportation.
  • Have valid registration documents.
  • Meet applicable safety standards.
  • Are maintained in good mechanical condition.
  • Are suitable for the cargo category accepted.
The Transporter shall promptly remove any vehicle that becomes unsafe or unfit for service.

5. Driver Requirements

The Transporter shall ensure that every driver:
  • Holds a valid driver's license for the relevant vehicle class.
  • Is legally authorized to operate the vehicle.
  • Complies with all traffic and transportation laws.
  • Operates vehicles safely and responsibly.
  • Maintains professional conduct when interacting with customers.
The Transporter is responsible for the actions and omissions of drivers operating under their account.

6. Compliance with Laws

The Transporter shall comply with:
  • Road traffic laws.
  • Transportation regulations.
  • Safety regulations.
  • Employment laws applicable to the Transporter's workers.
  • Tax obligations.
  • Environmental regulations.
  • Any other applicable laws and regulations.
The Transporter shall bear sole responsibility for legal compliance.

7. Cargo Acceptance

Before accepting a delivery request, the Transporter shall:
  • Review the cargo description.
  • Confirm vehicle suitability.
  • Ensure adequate loading capacity.
  • Confirm compliance with applicable laws.
The Transporter may decline any request that:
  • Exceeds vehicle capacity.
  • Appears unsafe.
  • Violates applicable law.
  • Involves prohibited goods.

8. Cargo Handling Obligations

The Transporter shall:
  • Exercise reasonable care in handling cargo.
  • Take reasonable precautions to prevent loss or damage.
  • Secure cargo appropriately.
  • Follow any lawful handling instructions provided by the customer.
  • Deliver cargo to the designated destination.
The Transporter shall not intentionally damage, misuse, abandon, or improperly handle cargo.

9. Prohibited Cargo

Transporters shall not transport cargo prohibited by law, including but not limited to:
  • Illegal drugs.
  • Stolen property.
  • Counterfeit goods.
  • Illegal weapons.
  • Hazardous materials requiring permits not possessed by the Transporter.
  • Any goods prohibited under applicable law.
Transporters must immediately report suspicious or unlawful cargo to the appropriate authorities.

10. Delivery Performance

The Transporter shall:
  • Arrive at pickup locations within a reasonable time.
  • Communicate delays promptly.
  • Complete deliveries diligently.
  • Update delivery statuses accurately within the Platform.
  • Maintain communication with customers when reasonably necessary.
Repeated failure to complete accepted deliveries may result in suspension.

11. Vehicle Tracking and Proof of Delivery

The Transporter acknowledges and agrees that HaulPal may collect, process, store, and use operational data relating to transportation services performed through the Platform, including:
  • Real-time and historical vehicle location data.
  • Pickup and delivery timestamps.
  • Delivery status updates.
  • Proof-of-delivery records.
  • Photographs of cargo, pickup locations, and delivery locations.
  • Customer confirmations and digital acknowledgements.
  • Electronic signatures and OTP-based delivery verification records.
  • Communications relating to transportation services.
Such information may be used by HaulPal for:
  • Delivery tracking.
  • Customer notifications.
  • Fraud prevention.
  • Dispute resolution.
  • Service quality monitoring.
  • Regulatory compliance.
  • Platform security and operational improvement.
The Transporter agrees to cooperate in providing accurate delivery information and acknowledges that HaulPal may rely on such records when investigating complaints, resolving disputes, or verifying service completion.

12. Insurance

The Transporter acknowledges and agrees that:
  • HaulPal does not provide transportation insurance.
  • HaulPal does not provide cargo insurance.
  • HaulPal does not provide vehicle insurance.
  • The Transporter is solely responsible for obtaining and maintaining all legally required insurance coverage.
The Transporter shall provide proof of insurance if requested by HaulPal.

13. Pricing and Payments

Transporters may receive payment through the Platform or directly from customers depending on the services offered.
Where payments are processed through the Platform:
  • HaulPal may deduct applicable service fees.
  • HaulPal may deduct commissions.
  • HaulPal may deduct taxes where required by law.
  • Payout schedules may vary.
The Transporter authorizes HaulPal to deduct agreed fees from amounts payable.

14. Taxes

The Transporter is solely responsible for:
  • Income taxes.
  • Business taxes.
  • VAT or equivalent taxes.
  • Payroll obligations.
  • Any government charges arising from transportation services.
HaulPal does not provide tax advice.

15. Ratings and Reviews

Customers may rate and review transporters.
The Transporter acknowledges that:
  • Ratings may affect visibility on the Platform.
  • HaulPal may investigate complaints.
  • Fraudulent reviews may be removed.
Repeated poor performance may result in account restrictions.

16. Customer Conduct

The Transporter shall:
  • Treat customers professionally.
  • Avoid harassment or discrimination.
  • Refrain from abusive language.
  • Maintain professional communication.
Harassment, threats, violence, or misconduct may result in immediate termination.

17. Non-Circumvention

The Transporter shall not intentionally circumvent the Platform by:
  • Soliciting direct business from customers introduced through HaulPal.
  • Encouraging customers to avoid Platform fees.
  • Conducting transactions designed to bypass Platform commissions.
HaulPal may suspend or terminate accounts engaging in circumvention.

18. Fraud Prevention

The Transporter shall not:
  • Submit false information.
  • Use fake documents.
  • Create multiple accounts without authorization.
  • Manipulate ratings.
  • Submit fraudulent delivery confirmations.
  • Engage in payment fraud.
Any fraudulent activity may result in immediate termination and legal action.

19. Account Security

The Transporter is responsible for:
  • Maintaining account confidentiality.
  • Protecting login credentials.
  • Restricting unauthorized access.
  • Reporting suspected account compromise.
Activities conducted through the account are deemed authorized by the Transporter unless reported otherwise.

20. Suspension and Termination

To the maximum extent permitted by law:
  • This Agreement is violated.
  • Fraud is suspected.
  • Unsafe conduct is reported.
  • Required documents expire.
  • Repeated customer complaints occur.
  • Legal or regulatory concerns arise.
Termination may occur without prior notice where necessary to protect customers, the Platform, or the public.

21. Limitation of Liability

To the maximum extent permitted by law:
  • HaulPal is not responsible for cargo loss or damage.
  • HaulPal is not responsible for vehicle damage.
  • HaulPal is not responsible for injuries arising from transportation services.
  • HaulPal does not guarantee the availability of delivery requests.
The Transporter assumes all risks associated with providing transportation services.

22. Indemnification

The Transporter agrees to defend, indemnify, and hold harmless HaulPal, its officers, employees, affiliates, and partners from any claims, losses, damages, liabilities, costs, and expenses arising from:
  • Transportation services provided by the Transporter.
  • Violations of law.
  • Breach of this Agreement.
  • Cargo loss or damage.
  • Personal injury claims.
  • Property damage claims.

23. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:
  • Natural disasters.
  • Floods.
  • Earthquakes.
  • Government actions.
  • Civil unrest.
  • Internet outages.
  • Labor disputes.

24. Modifications

HaulPal may update this Agreement from time to time.
Continued use of the Platform after updates constitutes acceptance of the revised Agreement.

25. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.

26. Dispute Resolution

Any dispute arising from this Agreement shall first be addressed through good-faith negotiations.
Where negotiations fail, disputes shall be submitted to the competent courts of Kenya.
