1. Introduction

Welcome to HaulPal.

HaulPal is a digital platform that connects customers seeking transportation and logistics services with independent transporters and vehicle owners. By accessing or using the HaulPal website, mobile application, or services, you agree to these Terms and Conditions. If you do not agree with these Terms, you must not use the platform.

2. Definitions

For the purposes of these Terms, the following definitions apply:
'Customer' means any individual or business requesting transportation services through HaulPal.
'Transporter' means any driver, vehicle owner, logistics company, or independent contractor offering transportation services through HaulPal.
'Platform' means the HaulPal mobile application, website, and related services.
'Delivery Request' means a transportation request submitted by a Customer.

3. Nature of Service

HaulPal acts solely as a technology platform that facilitates connections between Customers and Transporters.

HaulPal:
  • Does not own or operate any vehicles.
  • Does not employ Transporters as employees.
  • Is not a carrier, freight forwarder, or logistics operator.
  • Is not responsible for the actual transportation of goods.
The transportation contract exists directly between the Customer and the Transporter. HaulPal is not a party to that contract and has no control over the quality, safety, legality, or reliability of the transportation services provided.

4. Eligibility

Users must:
  • Be at least 18 years old.
  • Have the legal capacity to enter into binding agreements.
  • Provide accurate and complete registration information.

HaulPal may suspend or terminate accounts that provide false information.

5. User Accounts

Users are responsible for:
  • Maintaining account security.
  • Protecting passwords and login credentials.
  • All activities conducted through their account.
Users must immediately notify HaulPal of any unauthorized access.

6. Delivery Requests

Customers agree to:
  • Provide accurate pickup and delivery information.
  • Provide truthful descriptions of goods.
  • Ensure goods are properly packaged.
  • Comply with all applicable laws and regulations.
HaulPal reserves the right to reject or remove requests that violate these Terms.

7. Prohibited Goods

The following items may not be transported through HaulPal:
  • Alcohol.
  • Drugs.
  • Firearms and ammunition.
  • Explosives.
  • Hazardous chemicals.
  • Counterfeit products.
  • Stolen property.
  • Human remains.
  • Any item prohibited under applicable law.
Transporters may refuse any shipment they reasonably believe violates these requirements.

8. Pricing and Payments

Pricing displayed on the Platform may include:
  • Base transportation charges.
  • Distance-based charges.
  • Additional service fees.
  • Platform commissions.
Customers agree to pay all applicable charges before or after service as specified by HaulPal.
HaulPal may deduct commissions, service fees, or transaction charges from payments made through the Platform.

9. Cancellations

Customers may cancel delivery requests before acceptance without penalty.

Cancellation fees may apply where:
  • A transporter has already accepted the request.
  • The transporter has arrived at the pickup location.
  • Resources have already been committed.
Refund decisions shall be made in accordance with HaulPal's refund policy.

10. Transporter Responsibilities

Transporters agree to:
  • Maintain valid licenses and permits.
  • Operate legally and safely.
  • Provide accurate vehicle information.
  • Maintain any required insurance.
  • Comply with local transportation regulations.
Transporters are solely responsible for services they provide.

11. Customer Responsibilities

Customers agree:
  • Not to misrepresent cargo.
  • Not to overload vehicles.
  • To provide accurate delivery details.
  • To cooperate during pickup and delivery.
Customers may be liable for damages arising from inaccurate information.

12. Insurance and Liability

HaulPal does not guarantee that goods transported through the Platform are insured.
Customers are responsible for confirming insurance coverage with Transporters where required.
To the fullest extent permitted by law, HaulPal shall not be liable for:
  • Loss of goods.
  • Damage to goods.
  • Delays in transportation.
  • Theft.
  • Accidents.
  • Actions or omissions of Transporters.

12.1. Cargo Verification

Customers are solely responsible for providing accurate descriptions of all goods submitted for transportation through the Platform. HaulPal reserves the right to request additional information, photographs, documentation, invoices, permits, or proof of ownership for any cargo.

Transporters may inspect cargo prior to accepting or transporting it and may refuse transportation where the cargo description is inaccurate, incomplete, unsafe, unlawful, or materially different from the information provided through the Platform.

HaulPal shall not be liable for losses, delays, damages, penalties, or disputes arising from inaccurate cargo information supplied by Customers.

12.2. Proof of Delivery

Transporters may be required to provide proof of delivery through methods including, but not limited to:
  • Recipient signatures.
  • Delivery photographs.
  • GPS-confirmed delivery records.
  • Digital confirmations through the Platform.
Such records shall constitute prima facie evidence that delivery has been completed. Customers agree that proof of delivery records maintained by HaulPal may be used in resolving disputes relating to transportation services.

12.3. 12.3 GPS Tracking Disclaimer

The Platform may provide GPS tracking, vehicle location information, estimated arrival times, and shipment status updates for convenience purposes only.

Customers acknowledge that tracking information may be delayed, inaccurate, interrupted, or unavailable due to network limitations, device failures, satellite errors, user actions, or other technical factors.

HaulPal does not guarantee the accuracy, availability, or reliability of tracking information and shall not be liable for losses resulting from reliance on such information.

12.4 Marketplace-Only Disclaimer

HaulPal operates solely as a technology marketplace that facilitates introductions and transactions between Customers and independent Transporters.

HaulPal is not a transportation provider, carrier, freight forwarder, logistics operator, employer, agent, or representative of any Transporter unless expressly stated otherwise.

All transportation services are provided solely by the Transporter. Any agreement relating to transportation services is entered directly between the Customer and the Transporter.

12.5 Transporter Verification and Background Checks

HaulPal may conduct verification procedures, document reviews, identity checks, license validation, or other screening processes for Transporters.

However, HaulPal does not guarantee the accuracy, completeness, validity, or ongoing status of any Transporter's qualifications, licenses, insurance, background, criminal history, reputation, conduct, or suitability.

Customers are encouraged to exercise independent judgment before engaging a Transporter. HaulPal shall not be liable for acts, omissions, negligence, misconduct, fraud, or criminal conduct by Transporters.

12.6 Payment Responsibility

Unless expressly stated otherwise by HaulPal, all payment arrangements are made directly between Customers and Transporters.

HaulPal does not collect, process, hold, or guarantee payments for transportation services and is not responsible for disputes relating to payment amounts, payment timing, non-payment, partial payment, or payment methods agreed between Customers and Transporters.

Customers and Transporters are solely responsible for ensuring that payment obligations arising from transportation services are fulfilled.

12.7 Commission and Service Fee Deductions

Transporters agree that HaulPal charges a commission equal to ten percent (10%) of the total delivery fee for each completed delivery obtained through the Platform, unless otherwise communicated by HaulPal.

Commissions are accrued to the Transporter's account upon successful completion of a delivery. The Transporter remains responsible for paying all outstanding commissions owed to HaulPal within the timeframes specified by the Platform.

Where a Transporter has unpaid commission balances, HaulPal may restrict, suspend, or limit access to new delivery requests, bidding opportunities, account features, or other Platform services until all outstanding amounts have been settled.

HaulPal reserves the right to maintain records of commissions owed, issue invoices, send payment reminders, and take reasonable measures to recover outstanding amounts.

HaulPal may modify its commission rates, fee structures, or payment policies upon reasonable notice to users. Continued use of the Platform following such notice shall constitute acceptance of the revised commission structure.

12.8 Force Majeure

HaulPal shall not be liable for any delay, interruption, failure, or inability to perform its obligations resulting from circumstances beyond its reasonable control, including but not limited to:
  • Floods;
  • Fires;
  • Earthquakes;
  • Extreme weather conditions;
  • Road closures;
  • Traffic disruptions;
  • Government actions;
  • Regulatory restrictions;
  • Strikes or labor disputes;
  • Civil unrest;
  • Riots;
  • Acts of terrorism;
  • Epidemics or pandemics;
  • Internet, telecommunications, or utility failures.
Affected obligations shall be suspended for the duration of the force majeure event.

12.9 Vehicle Breakdown and Operational Delays

Customers acknowledge that transportation services may be affected by mechanical failures, tire punctures, accidents, fuel shortages, traffic congestion, adverse weather, route diversions, vehicle breakdowns, or other operational issues.

HaulPal does not guarantee uninterrupted transportation services or specific delivery timelines and shall not be liable for delays arising from such circumstances.

Transporters remain responsible for communicating material delays to Customers where reasonably practicable.

12.10 Non-Circumvention

Customers and Transporters introduced through the Platform agree not to intentionally circumvent HaulPal by conducting transportation transactions outside the Platform for the purpose of avoiding platform fees, commissions, or service charges.

For a period of twelve (12) months following an introduction through the Platform, parties shall not knowingly solicit, negotiate, contract, or transact transportation services outside the Platform where the relationship originated through HaulPal.

HaulPal reserves the right to suspend or terminate accounts and recover lost commissions, service fees, damages, or other reasonable costs resulting from violations of this provision.

13. Limitation of Liability

To the maximum extent permitted by law, HaulPal's total liability arising out of or related to the use of the Platform shall not exceed the total service fees paid to HaulPal during the three (3) months preceding the claim.

14. Ratings and Reviews

Users may submit ratings and reviews. HaulPal reserves the right to remove reviews that:
  • Are fraudulent.
  • Are abusive.
  • Violate applicable laws.
  • Contain offensive content.
  • Are irrelevant or misleading.

15. Intellectual Property

All trademarks, logos, software, content, and branding associated with HaulPal remain the exclusive property of HaulPal.
Users may not copy, distribute, or modify platform content without written permission.

16. Privacy

User data shall be processed in accordance with the HaulPal Privacy Policy.
By using the Platform, users consent to the collection and use of information necessary to provide services.

17. Suspension and Termination

HaulPal may suspend or terminate accounts for:
  • Fraudulent activity.
  • Violation of these Terms.
  • Abuse of the Platform.
  • Illegal conduct.
Termination may occur without prior notice where necessary to protect users or the Platform.

18. Dispute Resolution

Users agree to first attempt to resolve disputes informally by contacting HaulPal.
Where disputes cannot be resolved amicably, they shall be subject to the laws of Kenya and the jurisdiction of Kenyan courts.

19. Changes to Terms

HaulPal may modify these Terms at any time.
Continued use of the Platform after updates constitutes acceptance of the revised Terms.
